CICTA Membership

Our certified membership is for real estate professionals who are committed to serve commercial tenants, to qualify for membership you must:

  • Be of legal age;

  • Be currently employed as a real estate agent; or actively engaged in commercial leasing;

  • Be a tenant representative for at least 50% of your workload, as defined by CICTA;

  • Pay the annual membership fee of CAD$200.

You have to provide two reference and each reference, which you list on your application, may be contacted by CICTA. Please be sure to include the mailing address and postal/ZIP code, fax number and email address where possible for each reference that you list. A minimum of two (2) positive references directly related business contacts are required.

N.B.: To expedite and avoid delays in the processing of your application, please be sure to include all of the required information and application fee. Please retain a copy of the application for your records.

RULES AND REGULATIONS

ACCEPTANCE OF TERMS

The submission of information to, and use of, the real estate information and referral services (collectively, the "Service") available through the CICTA web site is subject to the following Terms and Conditions, which may be updated by us from time to time without notice to you. You can review the most current version of the Terms and Conditions at any time at http://www.cicta.com/regulations.html.  By submitting information to, or accessing information from, the Service, YOU, ("Member") AGREE TO THE FOLLOWING TERMS AND CONDITIONS. These Terms and Conditions are a legal agreement between you and CICTA ("CICTA" or the "Group"). You also agree to the CICTA Membership Regulations & Guidelines (the "Membership Regulations") available by hyperlink at the top of this page.

If you do not agree to these Terms and Conditions and to the Membership Policies, do not submit information to, or access information from, the Service. CICTA may update these terms and conditions at any time and without notice. The latest version of the terms and conditions is available on the CICTA website.

YOUR REGISTRATION OBLIGATIONS

In consideration of your use of the Service, you represent that you are the principal or an authorized signing officer of the firm that you are going to register in our site under the laws of Canada or other applicable jurisdiction. You also agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the Service's registration form (the "Registration Data") and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or CICTA has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, CICTA has the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof).

Membership Privileges

Membership privileges are granted by CICTA to companies exclusively and are granted specifically to the subscribing registered member only. No employee, independent contractor, agent, or affiliate of a competing real estate information service is permitted to access any of the Password Protected Areas of the CICTA web site without express written permission from CICTA. Membership rights cannot be assigned, sublicensed, distributed, shared, viewed, accessed, or otherwise transferred to anyone other than the registered member without the express written permission of CICTA.

CICTA requires that each registered user maintain a valid email address and a password, which shall be utilized for logging on to the CICTA system. Members are not permitted to share their individual logon information with others. CICTA has the right to refuse service to any member, individual, organization, or firm (and all members associated or affiliated with said organization or firm) that refuses to abide by the terms and conditions herein, refuses to abide by the Membership Policies as posted and displayed on the CICTA website, or abuses their rights related to the CICTA service.

CICTA utilizes email as a vital and primary communication channel with customers. As a registered user, Members hereby acknowledge and grant CICTA the permission to communicate with customers via email (as well as other communication channel such as phone and fax) for any purposes CICTA determines to be relevant including, but not limited to, system messages, product updates, service announcements and other marketing messages. CICTA will use best efforts to honor Members request to opt out of marketing messages, but under no circumstances will CICTA have any liability for sending any email to its registered users/customers.

SUBMISSION AND ADMINISTRATION OF INFORMATION

Use of Information

Member agrees to treat all information obtained from the Service, including enquiries, member directory, and any information otherwise made available to Member in the Service (individually and collectively, the "Content") as proprietary to CICTA. Member agrees that Content reserved for members will be maintained as confidential and shall be protected as a trade secret of CICTA. CICTA does not ensure the accuracy of, endorse or recommend any Content and Member uses such Content at the Member's own risk.

Nature of Member's Business

By registering as a Member, you represent to CICTA that either (a) your firm does not work for any commercial landlord, or (b) leasing services account for more than Fifty percent (50%) of the total revenues of your firm.

Payment Terms

Member agrees to pay for all services and products ordered through the CICTA web site or via the CICTA sales team using the payment method indicated, and provides CICTA express authorization to charge said fees to the Members payment provider. Fees owed depend on the specific type and quantity of CICTA products, services, information, or deliverables (collectively "Deliverables") ordered.

Payment of fees shall not be contingent on any events except for the referral fee which shall be payable upon closing and the receipt of commission by the member. Any attorney fees, court costs, or other costs incurred in collection of delinquent undisputed amounts shall be the responsibility of and paid for by Member. If payment is not current, CICTA may immediately cease to provide any and all Deliverables to the customer. The fees paid for annual subscriptions are nonrefundable, regardless of whether the subscription is terminated prior to the end of the then-current annual billing period.

No partial year refunds will be provided.

Subscriptions will automatically renew unless Member contacts CICTA Cancellation to cancel three (3) months prior to the renewal date and indicates its intent to cancel its subscription either in writing by email message addressed to Help@CICTA.com. All cancellation requests will be processed within one (1) month, and Member will receive a cancellation confirmation email message to the email address on record for the account. Questions concerning subscriptions may be addressed to Client Services (Help@CICTA.com). Upon processed cancellation, you cannot claim any status in CICTA, cannot use any logo of CICTA and in any way to represent that you have any affiliation with CICTA. The Group reserves the right to change its fees or billing methods at any time. The Group will provide timely notice to the affected Members of any such changes.

It is the Member's responsibility to promptly provide the Group with any contact or billing information changes or updates (including phone number, email address, credit card numbers, etc.). Account updates may be made online via the My Account tab within the My CICTA section, once Member has logged into www.CICTA.com.

Certified Membership

Certified Membership privileges are granted by CICTA to individuals exclusively and are granted specifically to the subscribing Certified Member only. Certified Membership rights cannot be assigned, sublicensed, distributed, shared, viewed, accessed, or otherwise transferred to anyone other than the subscribing Certified Member without the express written permission of CICTA. Certified Membership privileges are subject to change from time to time and may be subject to some limitations. Member acknowledges that CICTA (in addition to its other remedies) can cancel and prohibit Certified Membership privileges to any individual, organization, or group that does not abide by the terms and conditions set forth herein and/or can refuse any or all membership privileges. CICTA also has the right to refuse service to any customer or company that has delinquent charges that remain unpaid and to impose additional charges to reactivate Certified or other membership privileges.

Certified Member subscriptions will automatically renew at the prevailing annual subscription cost and the credit card number provided for initial payment will be charged accordingly unless the customer notifies CICTA Client Services (in writing or by telephone) three (3) months prior to the renewal date. The Group reserves the right to change its fees, payment frequency, or billing methods at any time. The Group will provide timely notice of any such changes.

Member acknowledges that fees paid for Certified Memberships is non-refundable.

Unsolicited Commercial Email (Spam)

CICTA prohibits the use of our system or its tools to generate or send unsolicited commercial email (spam). Members may not use any email services that CICTA offers and any email address found in CICTA site to send spam (i.e. unsolicited commercial email) or otherwise send content that would violate these Terms and Conditions. CICTA has the right to revoke the privileges of any customer or company that breaches these terms.

Ownership and License Grant

CICTA retains all rights (including Intellectual Property Rights as defined below), title and interest in the CICTA Web site.

Member shall use the CICTA system solely for their own use and shall not allow others to use the CICTA system under or through that Member's login ID/email and password.

Intellectual Property Rights means all intellectual property rights (throughout the universe, in all media, now existing or created in the future, for all versions and elements, in all languages, and for the entire duration of such rights) arising under statutory or common law, contract, or otherwise, and whether or not perfected, including without limitation, (a) all rights associated with works of authorship including without limitation copyrights, moral rights, copyright applications, copyright registrations, synchronization rights; (b) rights associated with trademarks, service marks, trade names, logos, trade dress, and the applications for registration and registrations of trademarks and service marks; (c) rights relating to the protection of trade secrets and confidential information; (d) rights analogous to those set forth in this definition and any and all other proprietary rights relating to intangible property; and (e) divisions, continuations, renewals, reissues, and extensions of the foregoing (as and to the extent applicable) now existing, later filed, issued, or acquired.

Limitation of Liability and Indemnification

IN NO EVENT SHALL CICTA BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, LOSS OF BUSINESS, LOSS OF USE OR OF DATA, OR INTERRUPTION OF BUSINESS) ARISING OUT OF THIS AGREEMENT. Member's exclusive remedy, and CICTA's entire liability under this Agreement shall be a refund to Member of the fees paid to CICTA hereunder, and in no event will CICTA's liability for any reason exceed such fee.

CICTA (and its officers, directors, employees and agents) shall not be liable for any damages whatsoever arising from Member's use of the Deliverables, and Member shall indemnify CICTA (and CICTA's officers, directors, employees and agents), and hold each of them harmless from and against any and all costs, damages or losses by any of them (including, without limitation, reasonable attorneys' fees) as a result of a claim by any person other than Member arising from

Member's use or application of the Services or the Deliverables.

Warranty Disclaimers

THE MEMBER REFERRALS, SERVICE, AND CICTA LEADS GENERATIONS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. CICTA MAKES NO PROMISES, REPRESENTATION OR WARRANTIES, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE MEMBER REFERRALS, SERVICE, AND CICTA LEADS GENERATIONS, INCLUDING THEIR ACCURACY, OPERATION, CONFORMITY TO ANY REPRESENTATION OR DESCRIPTION, OR THE EXISTENCE OF ANY LATENT OR PATENT DEFECTS, AND CICTA SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE AND, UNDER THE LAW OF CANADA, THE IMPLIED CONDITIONS OF SATISFACTORY QUALITY AND ACCEPTANCE AS WELL AS ANY LOCAL JURISDICTIONAL ANALOGUES TO THE ABOVE AND OTHER IMPLIED OR STATUTORY WARRANTIES.

Other Rights of CICTA

Member agrees that CICTA shall have the right to use all information submitted to it for any purpose, including without limitation for publication of all or part of such information on the Internet for unrestricted use by CICTA Members and partners. CICTA shall have sole authority to choose the manner in which any information will be received, displayed and used by the Service, and reserves the right to remove all or any part of a Listing or refuse Services to anyone at any time in its sole discretion. CICTA shall have no obligation to (i) resolve disputes among users of the Service; or (ii) monitor or verify the accuracy or proper use of the Listings. CICTA reserves the right to modify or change any and all terms and conditions at any time.

Governing Law

This Agreement, and the Deliverables provided by CICTA, shall be governed by the laws of the Province of Ontario, without reference to conflict of laws principles. The parties hereby consent to the exclusive jurisdiction and venue of the Superior Court Of Justice And Court Of Appeal of Ontario for the adjudication of any disputes or claims arising out of and/or related to this Agreement. If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of this Agreement, which shall remain in full force and effect.

Assignment

This Agreement shall be binding upon and shall inure to the benefit of the parties and their respective successors and permitted assigns. The rights under this Agreement or any license granted hereunder may not be assigned, sublicensed or otherwise transferred by Member without the prior written consent of CICTA, which retains the right to withhold consent in its sole discretion.

Notices

All notices to The Group must be in writing and must be sent registered mail, certified mail, or overnight mail with a return receipt requested to Chief Financial Officer at CICTA.

Entire Agreement

The terms and conditions of this Agreement constitute the entire agreement between the parties and supersede all previous agreements and understanding, whether oral or written, between the parties hereto with respect to the subject matter of this Agreement.
